Trade Licence Renewal

A trade licence has to be renewed every year. Late renewal carries a fine that grows, and can eventually suspend the licence and the visas that depend on it.

Renewal is the most avoidable problem in this business. Nothing about it is difficult – it simply has to happen before a date, and the date is easy to miss when nobody owns it.

Check Ejari first

If the tenancy registration has expired or is about to, that is dealt with before anything else. It blocks the licence renewal outright.

Check the approvals

Any activity-specific approval attached to the licence has its own renewal, on its own timetable.

Check the immigration file

The establishment card is separate from the licence and expires separately. An expired card blocks visa work even when the licence is current.

Confirm the details

Activities, shareholding and the manager on the licence are checked against what the company actually does now.

Renewal is when to amend

The cheapest moment to change anything.

If something on the licence is wrong or outgrown, this is the window.

Amendments filed mid-year are a standalone transaction. Filed at renewal, several of them fold into work that is happening anyway. A company that has quietly outgrown its licence for a year is paying twice – once in the amendment it eventually has to make, and once in the invoices it could not raise in the meantime.

Worth reviewing every year

  • Activities – are you invoicing for work the licence does not cover?
  • Shareholding – has anyone joined, left, or changed their stake?
  • The manager on the licence – is the named person still the right one?
  • Premises – does the registered space still support the headcount you need?
  • Trade name – if the business has rebranded, the licence should follow

Closing instead

If the answer is that you no longer need it.

Some companies should not be renewed. A dormant entity kept alive out of inertia accrues renewal costs, keeps an immigration file open and leaves obligations running – and letting it lapse quietly is worse than closing it, because an abandoned licence does not simply disappear.

Proper closure runs in order: residency visas cancelled, the labour file closed, the establishment card cancelled, obligations settled, and only then the licence formally deregistered with the authority. Why the visas come first.

An expired licence is a solvable problem. It is worth understanding what it stops while it is expired.

Companies discover an expired licence in one of two ways: they notice, or a transaction is refused. The second is more common, and more expensive, because by then something else is waiting on it.

While the licence is expired the company does not stop existing, but most of what it needs to do stops working. That is the part worth planning around.

What an expired licence blocks

  • New visa applications, and renewals of the ones you hold
  • Amendments to the licence itself – you cannot change an activity or a shareholder on an expired document
  • Most government transactions that ask for a valid licence copy, which is nearly all of them
  • Bank requests for updated documents, which some banks make annually and treat seriously
  • Anything that depends on the establishment card, because that renewal depends on the licence

Penalties for late renewal are set by the licensing authority and accrue over time rather than landing once. We confirm the current position on your specific file before quoting anything, because the amount depends on how long it has been expired and which authority issued it.

If you employ people

Renewal is not only a company matter.

Staff residency is tied to the company that sponsors it, which makes a lapsed licence their problem too.

Every residency visa your company sponsors sits on the company’s immigration file, and that file depends on a valid establishment card, which depends on a valid licence. A lapse at the top of that chain reaches the bottom of it.

The practical consequence is that an employee whose visa needs renewing during a lapsed period cannot renew it. They are not at fault, they usually cannot fix it, and they may not know until they are told at a counter.
