Dubai Company Formation Process
Mainland, free zone or offshore. The structure decides where you can trade, who you can sponsor and which banks will take you - so it is worth getting right before anything is filed.
Company formation in Dubai is not one process. It is three, and they lead to different companies with different rights. The choice is not really about cost – it is about what you intend to do, who you intend to sell to, and whether you need residency out of it.

The sequence
What actually happens, in order.
Activity and structure
We confirm the business activity against the authority’s list and choose the jurisdiction. Getting the activity wrong here is the most common cause of a rejected file.
Name reservation and initial approval
The trade name is reserved and initial approval issued. Names referencing religion, politics or existing brands are refused.
Documents and MOA
Passports, photographs, and the memorandum of association. Shareholding is fixed at this point – changing it later is a separate, chargeable amendment.
Licence issue
The trade licence is issued by the relevant authority. Royal Vision’s own service standard is a licence in about six working days with a complete file.
Establishment card and visas
The establishment card opens the immigration file, and residency applications can begin.
Documents
What you will be asked for.
Requirements vary by activity and jurisdiction. This is the common core; we send an exact list once the structure is chosen.
- Passport copies for every shareholder and the manager, valid at least six months
- Passport-size photographs against a white background
- Proof of address for each shareholder
- A short description of the intended business activity
- For corporate shareholders: certificate of incorporation, memorandum, and a board resolution, all attested
- An existing UAE visa or entry stamp, where the shareholder is already in the country

In free zones, yes, and that has always been the case. On the mainland, full foreign ownership is now available across a wide range of activities, though some remain restricted or require an Emirati partner or agent. We check your specific activity against the current list rather than relying on a general rule.
With a complete document set and no external approvals, the licence stage is quick. Activities needing approval from another authority – health, education, transport, financial services – take longer, and that timing is not ours to control.
It depends on the jurisdiction, the activity, and the visa allocation you need, and we do not publish a figure that would be wrong for most readers. You get an itemised quote separating government fees from our fee before anything begins.
You can, but it is a fresh filing rather than an edit, and in some cases a new licence. It is far cheaper to choose correctly at the start, which is why we spend time on this conversation.
Activity codes
The decision that quietly governs everything else.
More formation problems trace back to the activity than to the jurisdiction.
Every UAE licence is issued against one or more activities drawn from the authority’s own list. The activity is not a description you write – it is a code you select, and it determines the licence type, whether an external approval is needed, which bank will consider you, and in some cases whether a foreign shareholder may hold 100%.
Two problems recur. The first is choosing an activity that sounds right but is regulated – which adds an approval step nobody budgeted for. The second is choosing too narrowly, then discovering the company cannot invoice for work it is actually doing.
How we handle it
We ask what you will invoice for, not what industry you are in. Then we match that to codes, flag anything regulated, and tell you where adding an activity now is cheaper than amending the licence in six months.
Shareholding
Fix it before the memorandum is signed.
The memorandum of association records who owns what. Changing it afterwards is an amendment: a fresh filing, a fresh fee, and in some cases fresh approvals. It is one of the few genuinely expensive mistakes in company formation, and it is entirely avoidable.
Points to settle first
- The split between shareholders, in exact percentages
- Who is appointed manager – this is a named role on the licence, not an internal title
- Whether a corporate entity will hold shares, which adds attested documents from its home jurisdiction
- How shares transfer if a shareholder exits, which is far easier to write now than to negotiate later
- Whether any shareholder needs residency from this company, which affects the structure
We will not draft a shareholders’ agreement – that is a lawyer’s work, and for anything beyond a simple two-person split we will tell you to get one.
After the licence
What the first month actually involves.
The licence is the start of the sequence, not the end of it. This is what follows.
Establishment card
Opens the company’s immigration file. Nothing visa-related can begin before it exists.
Owner residency
The shareholder or manager applies first, because other applications often depend on someone resident being in place.
Corporate bank account
Started as soon as the licence exists, because it is the longest step. How we prepare it.
Tax registration
Corporate tax registration, and VAT registration where turnover and activity require it.
Staff and family
Labour quota, work permits, and family sponsorship once the owner’s residency is issued.
The renewals calendar
Licence, Ejari, establishment card and each visa expire on different dates. We hold them.
Common mistakes
Five that cost real money.
- Choosing the jurisdiction on price. A free zone licence is cheaper until you discover you cannot sell to UAE customers without a second licence.
- Taking office space before checking visa capacity. The premises set the visa ceiling. Signing a tenancy first can cap your headcount below what you need.
- Leaving attestation until the visa stage. Degree and marriage certificates are attested in their country of origin. Starting after you arrive adds weeks. Start early.
- Applying to several banks at once. Compliance teams see the pattern and it counts against you.
- Treating renewal as an annual surprise. Every expiry is knowable a year in advance.
The trade name
Chosen before anything is filed, and constrained more than people expect.
The name is reserved first, and a rejected name stalls the whole file at step one.
Trade names are approved by the authority against published rules, not registered on a first-come basis alone. A name that would be unremarkable elsewhere can be refused here, and the refusal arrives before anything else can proceed.
What gets a name refused
- Anything religious, or a name that could be read as invoking a deity
- Names of countries, governments, or official bodies
- Abbreviations of a personal name – a personal name must generally appear in full, not as initials
- A name already reserved or registered by someone else, including close variants
- A name inconsistent with the licensed activity, which is refused as misleading
- Certain words that require a specific approval or a particular legal form before they can be used
We ask for three names in order of preference and check them before submitting, which turns a rejection into a five-minute conversation rather than a restart. If a name matters to you commercially – because it is already your brand elsewhere – say so early, because there may be a legal form or an approval that makes it possible.
What can run in parallel
And what genuinely cannot.
Most of the delay in a formation is sequencing, not processing.
Clients often assume the whole thing is a queue. Some of it is – each step below depends on the one before it and no amount of pressure changes that. But several things that people run in series can be run alongside, and that is usually where the weeks are found.

The single most valuable thing you can do on the day you decide to set up is start attestation. It is the one step whose timeline is set entirely outside the UAE, and it is the one most often left until it blocks everything. The chain.
Changing structure later
What is amendable, and what is a new company.
Some things on a licence are amendments: adding or removing an activity, changing shareholding, changing the manager, changing the trade name, moving premises. Each is a filing with a cost, and several are cheapest at renewal. Why renewal is the moment.
Jurisdiction is not one of them. A free zone company does not become a mainland company, and an offshore company does not become either. What exists instead are routes that achieve the commercial result without the conversion.
