Free Zone Company Setup
Free zone companies suit export, consultancy, holding and technology businesses. Full foreign ownership, a simpler setup - and a real limitation on selling into the UAE mainland.
A free zone is a jurisdiction inside the UAE with its own registrar, its own rules and its own licence. There are many of them, and they are not interchangeable – each has activities it is built for, and banks treat them differently.
The limitation
Read this part first.
Every free zone site leads with the benefits. This is the constraint that decides whether a free zone works for you.
A free zone company can trade inside its own zone and internationally without restriction. It cannot sell directly into the UAE mainland market. To do that you need a mainland distributor, or a mainland branch of the free zone company – which is a second licence with its own cost and its own office requirement.
If your customers are UAE businesses and consumers, a mainland licence is usually cheaper once you account for that. Compare mainland setup.
Choosing a zone
What actually differentiates them.
- Permitted activities. Zones are built around sectors. A licence for your activity may simply not exist in the zone you had in mind.
- Visa allocation. How many residency visas the package includes, and what office type is needed to increase it.
- Office requirement. Flexi-desk, shared desk or physical office, and whether that satisfies your visa needs.
- Banking reputation. Some banks are slower with some zones. This is rarely published and matters a great deal.
- Renewal terms. The annual cost, and what happens if you renew late.

Zone and activity

Application to the zone’s registrar, with the trade name reserved.
Documents and payment
Passports, photographs, proof of address, and the zone’s own forms. Corporate shareholders need attested company documents.
Licence and establishment card
The licence is issued by the zone and the establishment card opens the immigration file.
Visas and bank
Residency applications begin, and the corporate account application follows the licence.

The mainland branch
How free zone companies reach UAE customers.
If a free zone licence is otherwise right but you need local customers, this is the usual answer.
A free zone company can register a branch on the mainland. The branch trades locally under the parent company’s name, which gets you into the UAE market without abandoning the free zone structure.
It is a second registration with its own licence, its own premises requirement and its own renewal. Sometimes it is the right answer. Often it is more expensive over two years than simply having formed on the mainland at the start — which is exactly why the jurisdiction conversation matters before anything is filed.
Renewals
Free zone renewal is not the same as mainland renewal.
Each zone runs its own renewal process, on its own deadline, with its own consequences for missing it. A company holding both a free zone licence and a mainland branch has two renewal cycles that do not align.
Add the establishment card and each residency visa and there are typically four or five dates in play. We hold them.

There are many free zones and they are not interchangeable. These are the differences that matter after you have signed.

The last row is the one nobody asks about at the start and everybody asks about eventually. A zone that is cheap to enter and slow to leave is not cheap.

Who are your customers?
If they are in the UAE market, the answer may not be a free zone at all. Compare mainland.
What exactly will you invoice for?
The activity has to be licensable in the zone, and it decides which zones remain candidates.
How many people need residency?
This sets the package and often the premises, and it is the number people underestimate.
Where will the money move?
Banking is the hardest step, and some zones make it measurably harder.
What is the two-year plan?
Growth, additional locations, or a possible exit – all of which are cheaper to plan for than to retrofit.
Closing a free zone company
Planned properly, it is orderly.
Companies close, and it is not a failure – projects end, structures get consolidated, plans change. What causes damage is stopping the renewals and walking away, because the entity does not quietly disappear and the obligations attached to it do not either.
The order
- Residency visas cancelled for everyone sponsored by the company
- The establishment card cancelled once no residencies remain open
- The bank account closed, with the zone often requiring evidence of it
- Outstanding obligations settled, including any tax registration and filings
- The zone’s own deregistration process completed, and the licence formally cancelled
